Please read these terms carefully before using our platform and services.

1. Introduction and Acceptance

Welcome to FoodMe Global ("FoodMe," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the FoodMe websites located at foodme.mobi and foodmeglobal.in (collectively, the "Website"), as well as our mobile applications, cloud-based point-of-sale (POS) system, restaurant management software, delivery management platform, and all related services (collectively, the "Services").

FoodMe Global (1869831 Ontario Inc.) is a global B2B SaaS leader specializing in comprehensive restaurant management solutions. We bridge the gap between technology and hospitality, supporting restaurant partners across North America and beyond with innovative, data-driven tools for the modern enterprise.

By accessing or using our Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not access or use our Website or Services.

2. Definitions

  • "Customer" means an end-user who places orders through a restaurant partner's self-branded FoodMe app.
  • "Restaurant Partner" or "Partner" means a restaurant or food service business that has entered into a commercial agreement with FoodMe to use our platform and services.
  • "Manager App" means the FoodMe Restaurant Manager mobile application available for Android and iOS devices.
  • "Customer App" means the self-branded mobile ordering application created for each Restaurant Partner.
  • "POS System" means the FoodMe cloud-based point-of-sale system, including FoodMe POS and Advanced POS solutions.
  • "Platform" means the entire FoodMe ecosystem, including all software, applications, websites, and services.

3. Scope of Services

3.1 Platform Services

FoodMe provides a comprehensive restaurant management platform that includes:

  • Self-branded mobile ordering applications for iOS and Android
  • Cloud-based POS systems (FoodMe POS and Advanced POS)
  • Restaurant Manager App for order management and operations
  • Delivery management and logistics integration
  • Marketing tools, push notifications, and promotional campaign management
  • Customer relationship management (CRM) and loyalty rewards programs
  • Reporting and analytics dashboards
  • Menu management and configuration tools
  • Payment processing integration
  • Kitchen display systems and printer integration
3.2 Business Model

FoodMe operates on a zero-commission model. We do not charge commissions on orders placed through our platform. Restaurant Partners pay subscription fees and/or setup fees as outlined in their individual service agreements. Standard payment processing fees apply through integrated payment gateways.

4. User Categories and Eligibility

4.1 Restaurant Partners

To become a Restaurant Partner, you must:

  • Be a legally registered business entity authorized to operate a food service establishment
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to enter into binding contracts on behalf of your business
  • Provide accurate, complete, and current business information
  • Maintain all necessary licenses, permits, and insurance required to operate your restaurant
  • Comply with all applicable food safety, health, and business regulations
4.2 End Customers

Customers using Restaurant Partner apps must:

  • Be at least 18 years of age or have parental/guardian consent
  • Provide accurate delivery and payment information
  • Use the services for lawful purposes only
4.3 Website Visitors

General visitors to our Website may browse informational content without creating an account, subject to these Terms and our Privacy Policy.

5. Account Registration and Security

5.1 Account Creation

Restaurant Partners and authorized users must create accounts to access certain features of the Platform. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account
5.2 Account Termination

You may delete your account at any time by following the process outlined in our Privacy Policy. FoodMe reserves the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion, with or without notice.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the FoodMe Platform and Services solely for their intended commercial or personal purposes in accordance with these Terms.

6.2 Prohibited Activities

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading practices
  • Use the Platform to transmit harmful code, viruses, or malware
  • Attempt to gain unauthorized access to any part of the Platform or related systems
  • Interfere with or disrupt the Platform's functionality or servers
  • Scrape, data mine, or use automated tools to extract data without authorization
  • Reverse engineer, decompile, or disassemble any software component
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Platform for spam, harassment, or unsolicited communications
  • Upload or share unlawful, offensive, or inappropriate content
  • Resell, redistribute, or sublicense access to the Platform without authorization

7. Restaurant Partner Obligations

7.1 Service Standards

Restaurant Partners agree to:

  • Maintain accurate and up-to-date menu information, pricing, and availability
  • Fulfill orders promptly and maintain quality food preparation standards
  • Comply with all food safety, health, and hygiene regulations
  • Provide accurate operating hours and honor posted schedules
  • Respond to customer inquiries and complaints professionally
  • Maintain necessary insurance coverage for business operations
  • Honor promotional offers and loyalty rewards as configured in the system
7.2 Branding and Marketing

Restaurant Partners retain ownership of their brand names, logos, and trademarks. By using FoodMe, you grant us a limited, non-exclusive license to use your branding materials solely for the purpose of providing the Services, including creating your self-branded app and marketing your restaurant.

7.3 Data Accuracy

Restaurant Partners are solely responsible for the accuracy of all information entered into the Platform, including menus, prices, item descriptions, allergen information, and nutritional data.

8. Orders and Transactions

8.1 Order Processing

FoodMe facilitates order transmission between Customers and Restaurant Partners. The contractual relationship for food orders exists directly between the Customer and the Restaurant Partner. FoodMe is not a party to this transaction.

8.2 Payment Processing

Payment transactions are processed through integrated third-party payment gateways. Restaurant Partners are responsible for payment processing fees charged by these providers. FoodMe does not store complete credit card information.

8.3 Order Cancellations and Refunds

Order cancellation and refund policies are determined by individual Restaurant Partners. FoodMe provides the technological tools to facilitate these processes but does not mandate specific refund policies. Disputes regarding orders should be resolved directly between Customers and Restaurant Partners.

8.4 Tips and Gratuities

In-app tips collected through the Platform are processed through the Restaurant Partner's payment gateway and are transmitted directly to the Restaurant Partner, minus applicable payment processing fees.

9. Delivery Services

9.1 Delivery Integration

FoodMe enables integration with third-party delivery services and supports Restaurant Partners in managing their own delivery operations. We do not directly employ or manage delivery personnel.

9.2 Delivery Responsibilities

Restaurant Partners are responsible for:

  • Ensuring proper packaging and food safety during transport
  • Setting accurate delivery zones and fees
  • Managing delivery personnel (if using in-house delivery)
  • Coordinating with third-party delivery services (if applicable)
9.3 Delivery Issues

FoodMe is not liable for delivery delays, incorrect deliveries, or food quality issues during transit. Such matters should be resolved between the Customer and the Restaurant Partner.

10. Intellectual Property Rights

10.1 FoodMe Intellectual Property

All content, features, and functionality of the FoodMe Platform, including but not limited to software code, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and the overall "look and feel" of the Platform, are owned by FoodMe Global or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Trademarks

The FoodMe name, logo, and all related product and service names, design marks, and slogans are trademarks of FoodMe Global or its affiliates. You may not use these marks without our prior written permission.

10.3 User-Generated Content

If you submit comments, reviews, feedback, or other content to the Platform, you grant FoodMe a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Platform and FoodMe's business.

10.4 Copyright Complaints

If you believe that any content on the Platform infringes your copyright, please contact us at [email protected] with detailed information about the alleged infringement.

11. Privacy and Data Protection

11.1 Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to such collection, use, and disclosure.

11.2 Data Ownership

Restaurant Partners retain ownership of their customer data, transaction history, and business analytics. FoodMe uses this data solely to provide the Services and may use aggregated, anonymized data for analytics and platform improvement.

11.3 Data Security

FoodMe implements reasonable technical and organizational measures to protect data against unauthorized access, loss, or destruction. However, no system is completely secure, and we cannot guarantee absolute security.

11.4 Data Retention and Deletion

Data retention and deletion procedures are outlined in our Privacy Policy. Users may request account deletion as described in the Privacy Policy.

12. Fees and Payment Terms

12.1 Subscription Fees

Restaurant Partners pay subscription fees as outlined in their individual service agreements. Fees may include:

  • Platform subscription fees (monthly or annual)
  • One-time setup and onboarding fees
  • Custom development or integration fees
  • Hardware costs (POS terminals, printers, etc.)
12.2 Payment Processing Fees

Standard payment processing fees apply and are charged directly by the payment gateway provider, not by FoodMe. These fees typically range from 2.5% to 3.5% per transaction, depending on the payment processor and card type.

12.3 No Commission on Orders

FoodMe operates on a zero-commission model. We do not charge commissions or take a percentage of food order revenue. Restaurant Partners receive 100% of order revenue (minus payment processing fees).

12.4 Payment Terms

Unless otherwise specified in your service agreement:

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payments are due upon receipt of invoice
  • Late payments may result in service suspension or termination
  • All fees are quoted in Canadian Dollars (CAD) unless otherwise stated
12.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for all sales, use, GST, HST, and other taxes or duties imposed by governmental authorities.

12.6 Refund Policy

Setup fees and custom development costs are generally non-refundable. Subscription fees may be prorated in case of early termination, subject to the terms of your service agreement.

13. Service Level and Availability

13.1 Service Availability

FoodMe strives to provide reliable, uninterrupted service. However, we do not guarantee that the Platform will be available 100% of the time. The Platform may be unavailable due to:

  • Scheduled maintenance and updates
  • Emergency repairs or security patches
  • Internet service provider outages
  • Force majeure events
13.2 Technical Support

FoodMe provides technical support to Restaurant Partners via email at [email protected] and phone at +1-647-873-6070. Support hours and response times are outlined in your service agreement.

13.3 Platform Updates

FoodMe reserves the right to modify, update, or discontinue features of the Platform at any time. We will make reasonable efforts to notify Restaurant Partners of significant changes that may affect their operations.

14. Third-Party Services and Integrations

14.1 Third-Party Providers

The FoodMe Platform integrates with various third-party services, including:

  • Payment gateways (Stripe, Square, etc.)
  • Delivery logistics platforms
  • Email and SMS notification services
  • Analytics and tracking tools
  • Map and geolocation services
14.2 Third-Party Terms

Your use of third-party services is subject to their respective terms and conditions and privacy policies. FoodMe is not responsible for the practices, policies, or actions of third-party providers.

14.3 Third-Party Links

The Platform may contain links to third-party websites or services. These links are provided for convenience only. FoodMe does not endorse or assume responsibility for the content or practices of linked sites.

15. Disclaimers and Limitations of Liability

15.1 "As Is" and "As Available" Basis

THE FOODME PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

15.2 No Warranty

FoodMe does not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Platform will be accurate or reliable
  • The quality of any products, services, information, or other material obtained through the Platform will meet your expectations
  • Any errors in the software will be corrected
15.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOODME GLOBAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • ANY DAMAGES RESULTING FROM INTERRUPTION OF SERVICE OR LOSS OF ACCESS
  • ANY DAMAGES ARISING FROM THE CONDUCT OF THIRD PARTIES
  • ANY FOOD QUALITY, SAFETY, OR DELIVERY ISSUES

IN NO EVENT SHALL FOODME'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO FOODME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR CAD $1,000, WHICHEVER IS LESS.

15.4 Food Safety Disclaimer

FoodMe is a technology platform and is not responsible for food preparation, quality, safety, allergen information, or accuracy of nutritional data. These are the sole responsibility of the Restaurant Partner. Customers with food allergies or dietary restrictions should contact the restaurant directly before ordering.

15.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless FoodMe Global, 1869831 Ontario Inc., and our respective officers, directors, employees, contractors, agents, licensors, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or applicable laws
  • Your use or misuse of the Platform or Services
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content you submit, post, or transmit through the Platform
  • Food quality, safety, or preparation issues (Restaurant Partners)
  • Delivery or fulfillment issues (Restaurant Partners)
  • Any disputes between you and Customers (Restaurant Partners)

17. Term and Termination

17.1 Term

These Terms remain in effect for as long as you access or use the Platform or maintain an account with FoodMe.

17.2 Termination by User

You may terminate your account at any time by following the account deletion process outlined in our Privacy Policy or by contacting support. Termination does not relieve you of obligations for fees incurred prior to termination.

17.3 Termination by FoodMe

FoodMe reserves the right to suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Repeated customer complaints or poor service quality (Restaurant Partners)
  • Violation of applicable laws or regulations
17.4 Effect of Termination

Upon termination:

  • Your right to access and use the Platform will immediately cease
  • You must immediately pay all outstanding fees and charges
  • FoodMe may delete your account data in accordance with our data retention policies
  • Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

18. Dispute Resolution and Governing Law

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

18.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the courts located in Hamilton, Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

18.3 Informal Resolution

Before initiating formal legal proceedings, parties agree to attempt to resolve disputes informally by contacting FoodMe at [email protected] and allowing thirty (30) days for good-faith negotiation.

18.4 Arbitration

If informal resolution fails, disputes may be resolved through binding arbitration administered by the ADR Institute of Canada in accordance with its Commercial Arbitration Rules. Arbitration shall take place in Hamilton, Ontario, and shall be conducted in English.

18.5 Class Action Waiver

To the extent permitted by law, all claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements you have entered into with FoodMe, constitute the entire agreement between you and FoodMe regarding the Platform and supersede all prior agreements and understandings.

19.2 Amendments

FoodMe reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our Website with a new "Last Updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

19.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. FoodMe's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

19.4 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.5 Assignment

You may not assign or transfer these Terms or your account without FoodMe's prior written consent. FoodMe may assign these Terms or delegate any of its obligations without restriction.

19.6 Force Majeure

FoodMe shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or power outages.

19.7 Language

These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict between the English version and any translation, the English version shall prevail.

19.8 Headings

Section headings in these Terms are for convenience only and shall not govern the meaning or interpretation of any provision.

19.9 Relationship

Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.

20. Accessibility

FoodMe is committed to making our Platform accessible to users with disabilities. If you experience any difficulty accessing any part of the Platform, please contact us at [email protected] and we will work with you to provide the information or service you seek through an alternative communication method.

21. Export Control

The Platform may be subject to Canadian export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations and will not transfer, or encourage, assist, or authorize the transfer of the Platform to a prohibited country or otherwise in violation of such laws or regulations.
